1. Agreement to Terms

By accessing or using Shipflo's platform, mobile applications, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services. These Terms constitute a legally binding agreement between you and Shipflo.

2. Description of Services

Shipflo provides a cloud-based shipping and logistics management platform that includes:

  • Container tracking and management
  • Android scanner application with GS1 barcode scanning
  • QuickBooks Online integration for US accounting
  • WhatsApp and email notification systems
  • Customer portal and shipment tracking
  • Analytics and reporting tools
  • API access (Enterprise tier only)

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice to users.

3. Account Registration and Security

Account Creation: You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

Account Security: You agree to:

  • Use a strong, unique password
  • Notify us immediately of any unauthorized access
  • Not share your account credentials with others
  • Accept responsibility for all activities under your account

Account Eligibility: You must be at least 18 years old and have the authority to enter into this agreement on behalf of your organization.

4. Subscription Plans and Billing

Free Trial: We offer a 14-day free trial with full access to Business Basic features. No credit card is required for the trial. The trial automatically ends after 14 days unless you subscribe.

Subscription Tiers:

  • Business Basic: $499/month
  • Business Premium: $699/month
  • Enterprise: $999+/month (custom pricing)

Billing: Subscriptions are billed monthly or annually in advance. Annual subscriptions receive a 17% discount. You authorize us to charge your payment method on file.

Refunds: We do not provide refunds for partial months. If you downgrade, changes take effect at the next billing cycle.

Price Changes: We may change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of new pricing.

5. Acceptable Use Policy

You agree NOT to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Services
  • Use the Services for fraudulent purposes
  • Reverse engineer, decompile, or disassemble the Services
  • Resell or redistribute the Services without authorization
  • Use automated systems to access the Services excessively

Violation of this policy may result in immediate account suspension or termination.

6. Data Ownership and Privacy

Your Data: You retain all rights to your data. We do not claim ownership of any content you upload or create within the Services.

License to Use: You grant us a limited license to use your data solely to provide and improve our Services.

Data Export: You can export all your data at any time. After cancellation, you have 30 days to download your data before permanent deletion.

Privacy: Our use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property

The Services, including all software, text, graphics, logos, and other content, are owned by Shipflo and protected by copyright, trademark, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your business purposes. This license does not include any resale or commercial use of the Services or derivative works.

8. Third-Party Integrations

Our Services integrate with third-party platforms including QuickBooks, WhatsApp, and Firebase. Your use of these integrations is subject to the third parties' terms of service and privacy policies.

We are not responsible for the availability, accuracy, or functionality of third-party services. Integration issues with third-party platforms do not constitute a breach of these Terms.

9. Warranties and Disclaimers

Service Availability: We strive for 99.9% uptime but do not guarantee uninterrupted access. The Services are provided "AS IS" and "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPFLO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be error-free, secure, or free from viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPFLO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages, so the above limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Shipflo, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of another party.

12. Termination

By You: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period.

By Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay fees.

Effect of Termination: Upon termination, your access to the Services will cease. You have 30 days to export your data before permanent deletion. Fees paid are non-refundable.

13. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Arbitration: Any disputes arising from these Terms or the Services shall be resolved through binding arbitration rather than in court, except you may assert claims in small claims court.

Class Action Waiver: You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Your continued use of the Services after changes constitutes acceptance of the updated Terms.

15. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Shipflo regarding the Services.

Severability: If any provision is found unenforceable, the remaining provisions will remain in full effect.

Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.

Assignment: You may not assign these Terms without our consent. We may assign these Terms to any affiliate or in connection with a merger or sale of assets.
